TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of https://nest-egg.com and the Services provided by My Nest-Egg, LLC (“My Nest-Egg,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms.

1) Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services.

2) Accounts

If you create an account, you agree to:

  • Provide accurate information
  • Maintain the confidentiality of your login credentials
  • Notify us of unauthorized use of your account

You are responsible for activity under your account.

3) Services

We provide a marketing and communications platform and related services that may include features such as lead capture, email messaging, SMS messaging, automation, reporting, and billing tools. Features may change over time, and we do not guarantee that any specific feature will always be available.

4) Payments and Billing

If you purchase paid Services, you agree to pay all fees and taxes and provide accurate billing information.

Payments are processed through our billing and payment providers. We may receive limited transaction details (such as payment status and last four digits of a card, depending on the processor) to provide the Services and support billing.

5) SMS and Messaging Compliance

If you use the Services to send messages (or if you request messages from us), you agree that:

  • You will comply with all applicable laws and regulations, including CAN-SPAM, TCPA, and applicable carrier requirements
  • You are responsible for obtaining and maintaining appropriate consents for SMS and email communications
  • You will include required opt-out mechanisms and honor opt-out requests
  • Carriers are not liable for content

STOP to opt out: Recipients can opt out of SMS by replying STOP (or as otherwise instructed). Message and data rates may apply.

5.1 SMS Use Cases (Purpose of Messages)

If you use the Services to send SMS/MMS messages, or if you request that we message you, SMS/MMS may be used for the following purposes (as applicable to your business and your recipients’ consent):

  1. Conversational and customer support
    • Responding to inbound questions or requests
    • Two-way support communications related to an active inquiry or customer relationship
  2. Lead and sales communications
    • Responding to inbound leads
    • Quote, estimate, or consultation outreach and follow-up
    • Routing leads to the appropriate team member and confirming next steps
  3. Appointment and scheduling
    • Appointment confirmations, reminders, reschedules, and cancellations
    • Arrival notifications and coordination messages
  4. Transactional and account/service notifications
    • Requests for information needed to deliver services
    • Service status updates, task completion notifications, and other operational notices
    • Billing reminders or payment-related notices (where permitted by law and by carrier requirements)
  5. Review and reputation communications
    • Review requests following completion of services
    • Feedback collection (including NPS-style surveys) and follow-up related to customer experience
  6. Marketing and promotional messages (only where recipients have provided appropriate consent)
    • Promotions, offers, educational content, and announcements about new services or features

Message frequency varies based on the recipient’s interaction and the configured messaging workflows.

Message and data rates may apply. Recipients may opt out at any time by replying STOP (or as otherwise instructed), and you agree to honor opt-out requests.

6) Acceptable Use

You may not:

  • Use the Services for unlawful, deceptive, or harmful purposes
  • Send spam or unauthorized marketing messages
  • Upload or transmit content that infringes intellectual property or violates privacy rights
  • Attempt to access or interfere with the Services, systems, or data without authorization
  • Introduce malware or abusive automated traffic

We may suspend or terminate access for violations.

7) User Content

You retain ownership of content you submit to the Services (“User Content”). You grant us a limited, non-exclusive license to host, process, transmit, and display User Content solely to provide, secure, and improve the Services and to comply with legal obligations.

You represent and warrant that you have the rights to submit User Content and that it does not violate these Terms.

8) Third-Party Services

The Services may integrate with third-party services (including payment processors, email and SMS providers, analytics, and other integrations). Third-party services are governed by their own terms and policies, and we are not responsible for them.

9) Intellectual Property

We own the Services and all related intellectual property, excluding User Content. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as allowed by law or with our written permission.

10) Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free operation, or any specific business outcome.

11) Limitation of Liability

To the maximum extent permitted by law:

  • My Nest-Egg will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
  • Our total liability for all claims related to the Services will not exceed the amount you paid to us for the Services during the three (3) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

12) Indemnification

You agree to indemnify and hold harmless My Nest-Egg from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms
  • Your communications practices, including consent and compliance obligations for email and SMS

13) Suspension and Termination

We may suspend or terminate your access to the Services if you violate these Terms, pose a security risk, or if required by law. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive will survive (including intellectual property, disclaimers, limitation of liability, and indemnification).

14) Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws rules. Venue for disputes will be in state or federal courts located in Williamson County, Texas, unless required otherwise by applicable law.

15) Changes to These Terms

We may update these Terms from time to time. We will update the Effective Date above. Continued use of the Services after changes means you accept the updated Terms.
